- • Client grants Apex Events license to use provided information solely for service delivery
- • Anonymous case studies and testimonials may be used with client consent
- • Confidential business strategies and proprietary information remain client property
- • Client represents they have rights to all information provided to Apex Events
Third-Party Content
- • References to third-party tools, platforms, or services do not constitute endorsement
- • Clients are responsible for securing appropriate licenses for third-party materials
- • Apex Events disclaims responsibility for third-party intellectual property infringement
- • Integration of third-party services subject to their respective terms and conditions
5. Payment Terms and Conditions
Service Fees and Pricing
- • Service fees are quoted in Canadian Dollars (CAD) unless otherwise specified
- • Pricing is subject to change with 30 days written notice for new engagements
- • Additional services outside original scope will incur additional charges
- • All prices exclude applicable taxes, which will be added to invoices as required
- • International clients may be subject to currency exchange fluctuations
Payment and Billing
- • Payment terms are typically 50% deposit upon agreement signing, 50% upon completion
- • Invoices are due within 30 days of issue date unless otherwise agreed
- • Late payment may result in 1.5% monthly interest charges on overdue amounts

- • Returned payments subject to administrative fees and interest charges
Refunds and Cancellations

- • Refunds are prorated based on work completed and non-recoverable expenses incurred
- • Deposits may be non-refundable if significant preparatory work has been completed

Limitation of Liability
IMPORTANT: The following limitations apply to the maximum extent permitted by Canadian law:
- • Total liability is limited to the amount of fees paid for the specific service
- • No liability for indirect, consequential, or punitive damages
- • No responsibility for third-party vendor failures or performance issues
- • No liability for losses due to client failure to implement recommendations
- • Force majeure events (natural disasters, pandemics, etc.) exempt from liability
Client Risk Assumption
- • Clients assume responsibility for conference execution and attendee satisfaction
- • Business decisions and strategic implementations remain client responsibility
- • Market risks, competitive factors, and economic conditions affect outcomes
- • Clients should maintain appropriate insurance coverage for conference activities
7. Dispute Resolution
Resolution Process
Informal Resolution
Initial attempt to resolve disputes through direct communication and negotiation between parties.
Mediation
If informal resolution fails, disputes will be submitted to binding mediation with a qualified mediator.
Arbitration
Final disputes subject to binding arbitration under the laws of Quebec, Canada.
Governing Law and Jurisdiction
- • These terms are governed by the laws of Quebec and Canada
- • Any legal proceedings must be conducted in Montreal, Quebec courts
- • International clients consent to Quebec jurisdiction for dispute resolution
- • Canadian Consumer Protection Act provisions apply where applicable
8. Termination
Termination by Client
- • Services may be terminated with written notice subject to cancellation terms
- • Client remains responsible for payment of services rendered and non-recoverable costs
- • Termination must comply with minimum notice periods specified in service agreements
- • Partial refunds calculated based on completion percentage and incurred expenses
Termination by Apex Events
- • Immediate termination for material breach of terms or payment default
- • Termination with notice for client non-cooperation or scope changes
- • Right to suspend services pending resolution of payment or conduct issues
- • Professional courtesy notice provided except in cases of serious breach
Effects of Termination
- • Client access to proprietary methodologies and tools ceases immediately
- • Confidentiality obligations continue indefinitely after termination
- • Outstanding invoices become immediately due and payable
- • Work product delivered up to termination date remains with client
- • Certain provisions of these terms survive termination
9. General Provisions
Entire Agreement
These terms, together with our Privacy Policy and any signed service agreements, constitute the complete agreement between Apex Events and the client. These terms supersede all previous negotiations, representations, or agreements relating to the subject matter.
Modifications and Updates
- • We reserve the right to modify these terms at any time with reasonable notice
- • Material changes will be communicated via email or website notification
- • Continued use of services after changes constitutes acceptance
- • Version control maintains record of all terms modifications
